Please translate into Spanish the following contract boilerplate sections 1) Governing law

This Agreement shall be deemed to have been executed and delivered within the State of California, and the rights and obligations of the Parties shall be governed, construed, and enforced in accordance with, the laws of the State of California as applied to contracts negotiated and performed wholly within said State by residents thereof (i.e., without regard to the conflicts of law principles thereof).

2) Entire Agreement/Severability

This is the complete and binding agreement between XXX and me, and it supersedes all prior understandings and communications, both oral and written, with respect to its subject matter.

If any portion of this Agreement is held to be unenforceable for any reason, that portion is to be adjusted to achieve the intent of the parties, rather than voided, whenever possible.

3) Waiver

The delay or failure of Company to strictly enforce any provision herein shall not be construed as a waiver or forfeiture of Company’s right of subsequent enforcement thereof.

4) Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed to be an original and both together shall be deemed to be one and the same Agreement.

5) Notices

Unless otherwise specifically provided, all notices given under this Agreement shall be in writing, and shall be delivered by personal delivery, certified, or registered mail, return receipt requested, postage or charges prepaid, or overnight courier at the addresses listed below, or at such address as may be designated in writing by a notice delivered in accordance with the provisions hereof.

6) Closing

IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by their respective duly authorized representatives as of the date first written above.

7) Arbitration Clause

The parties agree that the remedy for any claim brought pursuant to this agreement shall be limited to actual damages, and in no event shall any party be entitled to recover punitive or exemplary damages or to rescind this agreement or seek injunctive or any other equitable relief.

8) Assignment

Any attempted assignment without Company’s prior written consent will be null and void and will constitute a material breach of this Agreement.
